This Lecturer Agreement ("Agreement") is entered into by and between Brainbox Edu (Pvt) Ltd, Pioneer Education (Pvt) Ltd, and Nextnewest (Pvt) Ltd (collectively referred to as the "Institution") and the Lecturer whose details are provided through the online application form on the platforms (brainbox.lk, pioneereducations.com) (hereinafter referred to as the "Lecturer").

1. Parties Involved

  • Institution: Brainbox Edu (Pvt) Ltd, Pioneer Education (Pvt) Ltd, and Nextnewest (Pvt) Ltd.
  • Lecturer: Name and details of the lecturer provided in the online application form (brainbox.lk, pioneereducations.com).

2. Position and Role

  • Title: Online Lecturer/Instructor.
  • Courses Taught: Specific courses or subjects assigned by the Institution.
  • Mode of Delivery: Online/physical platforms or tools used (e.g., Zoom, Google Meet, Learning Management Systems).
  • Cancellation: If any class cancellation or changes are made by the Lecturer, and it incurs costs to the Institution, the Lecturer shall be responsible for covering those costs.

3. Duties and Responsibilities

  • Content Delivery: Teaching, creating course materials, assignments, and assessments.
  • Student Interaction: Responding to student queries, providing feedback, and holding virtual office hours.
  • Grading and Evaluation: Assessing students' performance based on assignments, tests, and participation.
  • Curriculum Development: Participation in designing or updating course content, materials, videos, and audio clips as applicable.

4. Compensation and Payment Terms

  • Payment Structure: Payment may be structured as an hourly rate, per course payment, salary structure, or other agreed terms.
  • Payment Schedule: Payments will be made weekly, bi-weekly, or monthly, as agreed upon.
  • Additional Compensation: Any bonuses or additional pay for extra duties are subject to management's decision.

5. Work Hours and Schedule

  • Working Hours: Expected working hours and flexibility requirements.
  • Availability: Required availability for live sessions, office hours, or meetings.
  • Leave Policy: Any class cancellations or schedule changes should be communicated at least one week in advance.

6. Term of Agreement

  • Start and End Dates: The agreement duration, including start and end dates, will be calculated from the date of the Lecturer's registration or acceptance of the agreement via online or physical form.
  • Renewal Terms: This contract will be renewed annually from the date of the Lecturer's registration or acceptance of the agreement.

7. Intellectual Property

  • Course Materials Ownership: All course materials, including but not limited to documents, videos, audio clips, formulas, sounds, text, graphics, structures, and other content created or used as part of the courses, are the exclusive property of the Institution and its subsidiaries. This includes both physical and digital forms of the materials.
  • Lecturer’s Role: Lecturers act solely as developers and facilitators of the course content. They hold no ownership rights over any materials created or used during their engagement with the platform. Any intellectual property developed as part of their work remains the sole property of the Institution, including rights over reproduction, distribution, and modification.
  • Digital and Physical Presence: The Institution holds full rights over the digital and physical presence of all content, including its creation, distribution, display, and modification across all platforms. Lecturers and contributors may not claim ownership or rights to the course materials or their presentation in any form.
  • Licensing and Use: The Institution reserves the right to license, sell, or distribute the materials at its sole discretion. Any use of the course content outside the platform must be explicitly authorized by the Institution in writing.

8. Confidentiality

  • Confidential Information: All student records, including personal details, academic performance, and any other sensitive information, are strictly confidential. Personal details of lecturers and staff members are also confidential and must not be shared among students or disclosed outside the platform.
  • Data Protection Compliance: All parties must comply with applicable data protection laws, including but not limited to the Data Protection Act, the General Data Protection Regulation (GDPR), or other relevant privacy laws. Any misuse, unauthorized sharing, or breach of confidential information regarding students, their parents, or lecturers will be subject to legal action.
  • Legal Consequences: In the event of a data breach or misuse of confidential information, the Institution reserves the right to pursue legal action. The offending party will be liable for damages resulting from the breach and may be subject to fines, penalties, and compensation claims for harm caused.

9. Termination

  • Termination Clauses: The Institution reserves the right to terminate the agreement if the Lecturer breaches any of the terms outlined or engages in misconduct, including providing misleading information, consistently poor performance, or other violations identified by management. If the Lecturer fails to maintain an 80% pass rate for assigned students in each module or section, the management may terminate the contract at its discretion.
  • Notice Period: Either party may terminate this agreement by providing 30 days' written notice, signed by the authorized representative of the terminating party.

10. Technology and Equipment

  • Institution’s Responsibilities: The Institution will provide any required software, licenses, or access to online platforms.
  • Lecturer’s Responsibilities: The Lecturer is responsible for ensuring a suitable environment, hardware, and internet connection for delivering the course.

11. Compliance

  • Policies and Procedures: The Lecturer agrees to adhere to all institutional policies and procedures, including academic integrity, grading standards, online conduct, and student engagement.
  • Legal Compliance: The Lecturer must comply with all applicable local, national, and international laws, including but not limited to data protection regulations such as GDPR. Non-compliance may result in immediate termination and legal action.

12. Dispute Resolution

  • Mediation/Arbitration: In the event of any dispute arising from this agreement, the parties will first attempt to resolve the matter through good-faith negotiations. If the dispute cannot be resolved, it shall be referred to mediation. If mediation fails, binding arbitration will follow, with costs shared equally by both parties.
  • Governing Law: This agreement shall be governed by the laws of Sri Lanka. Any legal action arising from this agreement shall be brought exclusively in the courts of Sri Lanka.

13. Miscellaneous

  • Amendments: Any amendments or modifications to this agreement must be made in writing and signed by both parties.
  • Entire Agreement: This agreement constitutes the entire understanding between the parties and supersedes all prior discussions and agreements.
